Corporate Governance

The board of directors (the “Board”) of the Corporation believes that strong corporate governance practices are essential to the success of the Corporation, effective corporate performance, and the best interests of shareholders.

The mandate of the Board is to oversee the management of the business and affairs of the Corporation and provide guidance and direction to the management of the Corporation in order to attain corporate objectives and maximize shareholder value. In discharging their fiduciary duties of care and loyalty, directors are expected to exercise their business judgment to act in what they reasonably and honestly believe to be the best interests of the Corporation free from their personal interests.

Directors are expected to become and remain informed about the Corporation and its business, properties, risks, and prospects.
